Please read these terms and conditions very carefully in advance of accepting any product or service from Ensign Advanced Systems Ltd. This is a legally binding agreement between you as the User and Ensign Advanced Systems Ltd (Ensign), establishing the terms and conditions under which you may utilize the Software specified, including all support, information, advice and downloaded data contained in or referred to in it.
Software support is by way of telephone, remote support software, email and postal means only.
Ensign staff will endeavour to clear all queries raised in the shortest possible time. Support is limited to Ensign licensed software.
Support may include the addition of client suggested improvements to the software that may then be made available to all clients with a current support agreement.
Support will include investigation by Ensign’s staff into difficulties experienced to ensure that correct practices are identified and training is passed on to avoid reoccurrence of any problems encountered and enable best results.
In our endeavour to continuously improve our Software and Services you hereby agree to the collection of data from the Ensign software via the internet. Continuous upgrades to Ensign software may be made available also via the internet.
Support is available during 8.30am until 4.45pm Monday to Thursday (excluding bank holidays) and from 8.30am to 4.00pm on Fridays. The offices will be closed from Christmas Eve (midday) until the 1st full working day of the New Year.
During the Christmas period (above) no Software Support will be available unless pre-arranged in advance and at Ensign’s discretion.
Although every effort has been made to ensure the accuracy of the software and information provided to the User, no guarantee of accuracy can be given by Ensign and accordingly no responsibility can be accepted by Ensign, it’s servants or agents for any loss, consequential loss or damage howsoever caused to the User or to any person, firm or company arising out of the use of the software, the support services or the data provided.
The operation of the software is the responsibility of the client and the user must check the results obtained for accuracy.
These terms and conditions are subject to change, Ensign reserves the right to amend them at any time, the consent of no other person is required. Notification of any amendment shall be effected by email or website posting. These terms and conditions were last updated 1st April 2017.
Ensign software licences are supplied on a non-exclusive, non-transferable basis. Transfer of ownership of the software is not offered under this agreement. The Software cannot be sold on, sub licensed or loaned to a third party.
Should any payment due under this contract not be made on time, at Ensign’s discretion the remainder of the contract payments become payable immediately and Ensign’s software and services may be withdrawn.
The parties agree that each of the clauses herein is severally enforceable so that in the event of any one clause being held to be invalid, it does not affect the validity of the other clauses.
The parties accept the jurisdiction of the English courts and submit to that jurisdiction in the event of any dispute.
I have read the Terms and Conditions and I confirm that I have the necessary authority to enter into such an agreement. I understand that they form a legally binding agreement between me and Ensign Advanced Systems Ltd.
